1. Definitions

• "Agreement" — these Terms, together with any signed Statement of Work or engagement letter.
• "Client" — any individual or organisation engaging Pandan Core for paid services.
• "Content" — all materials, reports, training content, and deliverables produced by Pandan Core.
• "Services" — AI readiness diagnostics, workforce training programmes, and AI solution delivery as described on this website.
• "User" — any person accessing this website.
• "We/Us/Our" — Pandan Core Pte. Ltd., registered in Singapore.

2. Acceptance of Terms

By using this website, submitting an enquiry, or entering into a service engagement with Pandan Core, you confirm that you are at least 18 years of age, have legal capacity to enter into contracts under applicable Singapore law, and accept these Terms in full. If you are acting on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.

3. Services Description

Pandan Core offers three core service lines to organisations in Singapore:

• AI Readiness Diagnostic — structured assessment of an organisation's strategic, workforce, data, and technology readiness for AI adoption.
• AI Workforce Training — role-specific training programmes designed for executive, management, practitioner, and technical audiences.
• AI Solution Delivery — end-to-end design, development, and deployment of AI solutions scoped to specific business problems.

Service availability is subject to capacity and geographical focus on Singapore. Pandan Core reserves the right to decline or limit engagements at its discretion.

4. Engagement Terms

Specific terms for paid engagements, including scope, deliverables, timeline, fees, and payment schedule, are set out in a separate Statement of Work or engagement letter agreed in writing between Pandan Core and the Client. In the event of conflict between these Terms and a signed Statement of Work, the Statement of Work prevails on matters of scope and fees.

5. Payment Terms

• Fees are quoted in Singapore Dollars (SGD) unless otherwise stated.
• Payment terms are specified in the engagement letter. Standard terms are 50% on engagement commencement and 50% on delivery of final outputs.
• Invoices are payable within 14 days of issue unless otherwise agreed in writing.
• Late payments accrue interest at 1.5% per month on the outstanding balance.
• Refunds for training programmes: full refund if cancelled more than 10 business days before start; 50% refund if cancelled within 10 business days. No refund once a programme commences.

6. User Responsibilities and Acceptable Use

When using this website or engaging our services, you agree not to:

• Misrepresent your identity or organisational affiliation
• Reproduce, distribute, or commercially exploit any Content produced by Pandan Core without written consent
• Use this website in any way that disrupts, damages, or impairs its operation
• Attempt to gain unauthorised access to any system or data associated with Pandan Core
• Provide false or misleading information in the course of an engagement

7. Intellectual Property

All Content on this website — including text, structure, methodology descriptions, and visual design — is owned by or licensed to Pandan Core and protected under applicable Singapore and international intellectual property law.

Deliverables produced under a paid engagement become the property of the Client upon receipt of full payment, unless otherwise specified in the engagement letter. Pre-existing Pandan Core methodology, frameworks, and tools incorporated into deliverables remain the property of Pandan Core. Clients receive a non-exclusive licence to use such materials for internal business purposes.

Training materials provided during a programme are licensed to participants for personal professional use only and may not be resold or distributed without written consent.

8. Confidentiality

Both parties agree to treat as confidential any non-public information shared in the course of an engagement, marked confidential or clearly confidential in nature. Confidentiality obligations survive termination of the engagement for 3 years. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

9. Disclaimers

Pandan Core provides advisory and training services based on professional judgment and available information. We do not guarantee specific business outcomes, AI project results, or return on investment from any engagement. AI technology is evolving rapidly; advice given is current at the time of delivery.

This website and its content are provided "as is" without warranty of any kind. Pandan Core makes no warranty that the website will be uninterrupted, error-free, or free of harmful components.

10. Limitation of Liability

To the maximum extent permitted by Singapore law, Pandan Core's aggregate liability to any Client or User for any claims arising from an engagement or use of this website shall not exceed the total fees paid by that Client for the specific engagement in question. Pandan Core shall not be liable for indirect, consequential, punitive, or incidental damages, including lost profits or business interruption, even if advised of the possibility of such damages.

11. Indemnification

You agree to indemnify and hold harmless Pandan Core and its directors, employees, and sub-contractors from any claims, losses, or expenses (including legal fees) arising from your breach of these Terms, misuse of this website, or provision of inaccurate information during an engagement.

12. Termination

Either party may terminate an engagement for cause with 14 days' written notice if the other party has materially breached the terms and failed to remedy the breach within that period. Pandan Core reserves the right to terminate access to this website for any user who violates these Terms. On termination, payment for work completed to date remains due.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of Singapore. Any disputes arising from these Terms or a service engagement shall be referred first to good-faith negotiation between the parties. If not resolved within 30 days, disputes shall be submitted to mediation under the Singapore Mediation Centre, and if unresolved, to the courts of Singapore.

14. General Provisions

• Entire Agreement: These Terms, together with any signed engagement letter, constitute the full agreement between the parties on the matters covered.
• Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
• Waiver: Failure to enforce any provision does not waive our right to enforce it later.
• Assignment: You may not assign your rights under these Terms without our prior written consent.
• Notices: Formal notices under these Terms shall be in writing and sent to the addresses recorded in the engagement letter.

15. Changes to Terms

We may revise these Terms from time to time. Material changes will be posted on this page with an updated effective date. Continued use of this website or engagement of our services after the revised Terms are posted constitutes acceptance of the changes. For active engagements, material changes to Terms will be communicated directly by email.
